Terms of Service
These Terms of Service (“Terms”) are an agreement between you and IDN Technology Group Inc. (“IDN”, “we”, “us”). They govern your use of IDN Code (the desktop application), the website idncode.com, the download service at download.idncode.com, and the IDN account services that IDN Code relies on (together, the “Service”).
By downloading, installing or using IDN Code, or by using the website, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle information and is part of these Terms.
1. Who may use the Service
You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it. You may not use the Service if applicable law prohibits you from doing so.
2. The software
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use IDN Code on computers you own or control, for your own personal or internal business purposes.
IDN Code includes open-source software. Each open-source component is licensed to you under its own license, and the notices are included with the application. Nothing in these Terms limits the rights those licenses give you in those components.
IDN Code is currently offered as a beta. Features may change or be removed, and the software may contain defects.
3. Your account
IDN Code uses an IDN account, which is shared with other IDN products and the IDN account console. You are responsible for keeping your password and your device keys confidential, and for all activity that takes place through your account or with your device keys. Tell us promptly if you believe your account or a device key has been used without your permission.
4. Compute and charges
- We do not currently charge for downloading IDN Code.
- Using the hosted AI models consumes compute from your IDN account. Before each request, an estimated amount is reserved from your balance; when the request finishes, the charge is adjusted to actual usage and any unused part of the reservation is returned automatically.
- The rates that apply are those shown in the application or the account console at the time of use. We may change rates for future use.
- Compute is purchased and managed in the IDN account console, not in IDN Code. Purchases, pricing and any refund terms are those presented in the console at the time of purchase.
- IDN Code does not place a spending limit on your account. A single task can involve many model requests, and a long-running or repeated task can consume a significant amount of compute. You are responsible for all compute consumed through your account, including by automated tasks that you start. Check your balance, and stop a task if it is not doing what you intended.
5. Your content and your computer
You keep whatever rights you have in the instructions, files and other material you provide (“Input”) and, as between you and us, in the results the Service produces for you (“Output”). You give us permission to process your Input as needed to provide the Service, which includes sending it to third-party AI model providers. You confirm that you have the right to provide your Input for that purpose.
IDN Code acts on your computer. Within the workspace and permissions you choose, the assistant can read, create, modify and delete files and can run commands. These actions may be incorrect or have effects you did not intend. You are responsible for:
- choosing a permission mode that suits the task and the folder you point it at;
- keeping backups of anything you cannot afford to lose;
- reviewing what the assistant did, and the results, before you rely on them.
6. AI output
Output is generated by AI models and may be inaccurate, incomplete or unsuitable for your purpose. It may also be similar to output produced for other users. Output is not legal, financial, medical or other professional advice. You are responsible for checking Output before you use it and for how you use it, including compliance with any third-party licenses that may apply to code or other material it contains.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful, or to infringe anyone’s rights;
- use the Service to create or spread malware, to gain unauthorized access to systems or data, or to attack or overload any system;
- attempt to bypass or interfere with metering, access controls, rate limits or safety measures;
- share, sell or sublicense your account, your device keys or access to the Service;
- use the Service in violation of export control or sanctions laws, or if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or are on a U.S. government list of restricted parties.
8. Third-party services and software
- Responses are generated by third-party AI model providers. We may change providers at any time.
- Plug-ins available through the application are published by third-party developers and are not reviewed by IDN. You use them at your own risk.
- If you add your own API keys for other model providers, your use of those providers is governed by your agreements with them, and those requests do not pass through IDN.
- Some optional features, such as connecting a phone over the internet, rely on third-party relay services.
9. Changes, suspension and termination
We may add, change or remove features, and we may suspend or stop providing all or part of the Service. You may stop using the Service at any time.
We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use creates a security or legal risk, or if the law requires it. When your right to use the Service ends, the license in section 2 ends too. What happens to compute you have purchased but not used is governed by the terms presented in the account console and by applicable law.
10. Our intellectual property
Apart from the open-source components described in section 2, the Service, including its software, design, text, graphics, the IDN and IDN Code names, and the Sisi character, belongs to IDN and its licensors and is protected by law. These Terms do not give you any right to use our names, logos or characters. If you send us feedback, you allow us to use it without restriction or payment.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, IDN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IDN AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN TOLD THAT SUCH DAMAGES ARE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR COMPUTE CONSUMED THROUGH IDN CODE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnification
To the extent permitted by law, you will defend and indemnify IDN against any claims, losses and costs, including reasonable attorneys’ fees, that arise from your Input, from your use of the Service in violation of these Terms, or from your violation of any law or anyone’s rights.
14. Governing law and disputes
If you have a dispute with us, contact us first and we will try in good faith to resolve it within 30 days.
These Terms are governed by the laws of the United States and of the U.S. state in which IDN Technology Group Inc. is incorporated, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought in the state or federal courts located in that state, and you and we consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court. If you are a consumer, nothing in this section takes away protections that the law of your place of residence gives you and that cannot be waived by contract.
15. Changes to these Terms
We may update these Terms. When we do, we will post the new version on this page and change the effective date. If a change is material, we will also give notice on the website or in the application before it takes effect. If you continue to use the Service after the new Terms take effect, you accept them.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between you and IDN about the Service. If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a merger, acquisition or sale of assets. These Terms are written in English. Any translation is provided for convenience, and the English version controls.
